Welcome to CodeWays ("we", "us", "our"). By accessing our website (https://codeways.co) or subscribing to our design, development, and marketing automation services, you agree to comply with and be bound by the following Terms of Service. Please review them carefully.
1. Acceptance of Terms
By registering for an account, submitting a project brief, or completing a payment on our platform, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree, you must not use our services.
2. Description of Services
CodeWays provides web architecture setup, API integrations, Google Ads optimization automation, and programmatic SEO services. Our plans are structured as month-to-month subscriptions. We start work on your website draft or campaign set up once we receive your onboarding brief and first payment details.
3. Subscription, Domain, and Billing Terms
- Billing Cycle: Subscriptions are billed monthly on a recurring basis. You may cancel at any time.
- Cancellation: If you cancel your subscription, we provide a 2-week grace hosting period. You are responsible for exporting or migrating your content before the site is taken down.
- Domain Ownership: For plans that include domain registration, the domain is registered on your behalf. To transfer your domain during the first 12 months, you must settle any outstanding subscription balances and pay a standard domain registration/transfer cost.
4. Marketing Automation & Integration Disclaimers
If you choose to link your Google Ads or Google Search Console accounts to our dashboard, you authorise our systems to run automated search term auditing, query analysis, and negative keyword mutations.
While our keyword parsing models are designed to identify and exclude toxic/irrelevant search terms to protect your budget, CodeWays is not liable for any fluctuations, increases, or decreases in your ad account spend, CPC, or conversion performance. Ad campaigns are subject to bidding auctions and search intent variations beyond our control.
You maintain full access to your Google Ads and Search Console accounts. You can pause the optimization pilot, edit negative keyword lists, adjust campaign budgets, or disconnect the integration at any time directly from your dashboard.
5. Social Media Integration
Our services may include the integration and display of your social media content (from platforms including but not limited to Facebook, Instagram, and Threads) on your CodeWays-built website. By authorizing this integration, you acknowledge and agree to the following:
- You confirm that you are the rightful owner or authorized administrator of the connected social media accounts.
- You grant CodeWays permission to access and display your published social media content on your website for the duration of your subscription.
- Social media content remains your property and is subject to the respective platform's terms of service. CodeWays does not claim ownership of your social media content.
- CodeWays acts as a technical intermediary to facilitate the display of your content and does not modify, redistribute, or monetize your social media data.
- You may revoke access at any time through your Meta account settings or by contacting us, which will remove the social feed from your website.
- You can request deletion of all social media data we hold by visiting our Data Deletion Instructions page or emailing [email protected].
CodeWays' use of data received from Meta APIs will adhere to the Meta Platform Terms and Meta Developer Policies. In the event of any conflict between these Terms and Meta's Platform Terms, Meta's terms shall prevail with respect to Meta Platform data.
6. User Conduct and Responsibilities
You agree not to use our web platforms or integration tools for any illegal, abusive, or unauthorized purposes. You must not violate any laws in your jurisdiction (including but not limited to copyright laws, privacy laws, and spam policies).
6. Intellectual Property
You retain full ownership of all custom text, branding, graphics, and assets you provide for your website. CodeWays owns the underlying optimization algorithms, dashboard templates, and proprietary website framework code unless a complete code transfer agreement is settled separately.
7. Limitation of Liability
In no event shall CodeWays, its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of or inability to use our services.
